CNA is a market leader for Transaction Facilitation Insurance (TFI) products, which are insurance coverages designed to facilitate acquisitions, assets sales, cross-border transactions, financings, investments, mergers, restructurings, reorganizations and other transactions. TFI can enhance a company's appeal to buyers who may be eager to acquire a business but not its contingent liabilities. TFI products are designed to contain, reduce or eliminate contingencies, and TFI may significantly improve the economics of the transaction. For example, TFI may eliminate or reduce:

  • Disagreements as to the allocation of financial risk associated with one or more contingencies or liabilities.
  • Contingencies or liabilities which deter potential buyers of a business.
  • Contingencies or liabilities which reduce the consideration attainable for a business or asset.

These contingencies or liabilities may be actual, potential or perceived.
